JAGV, 23/12/2023 The legal regulation regarding the possibility of requesting the attendance of a notary at the holding of the general meeting, and the possibility for the applicant to request the practice of a preventive annotation of said request on the sheet of the company for the purposes of enabling its knowledge, both by the registrar who is the one who will register, if applicable, the agreements that result from said meeting, and by third parties in general, ensuring its effectiveness, is that contained in article 203 of the TRLSC and article 104 of the RRM. In accordance with the first of these precepts, in what interests us now, the directors of the company are obliged to require the presence of a notary to draw up minutes of the general meeting, “provided that, five days in advance of the date scheduled for the holding of the board, requested by partners representing at least one percent of the share capital in the public limited company or five percent in the limited liability company.” The same article adds that in this case "the agreements will only be effective if they are recorded in a notarial act."
